Terms of Service

1. Services & Deliverables

Kakralabs provides software engineering, AI solutions architecture, SaaS product development, and consulting services. Deliverables, sprint timelines, and specific project scopes are outlined in custom proposals or statements of work generated following lead reviews. All services are provided on a "as-is" and "as-available" basis unless explicitly stated otherwise in a signed Statement of Work.

2. Monthly Subscriptions & Billing

For our retainer-based engineering packages, we offer recurring monthly subscriptions processed securely through Stripe. These subscription services comply with FTC billing disclosure requirements:

• Automatic Renewal: Subscriptions are billed on a recurring monthly basis. Your card on file will be charged automatically on the anniversary of your signup date.
• Pricing Transparency: All pricing is clearly displayed on our website. No hidden fees, setup costs, or automatic contract lock-ins.
• Cancelation Policy: You may cancel your subscription at any time. To avoid the next billing cycle charge, you must cancel at least 3 business days before your next renewal date. You will retain access to the services and engineering capacity through the end of your current prepaid billing period.
• No Refunds: Due to the allocation of dedicated development capacity and immediate delivery of consultations, all subscription payments are non-refundable. Refunds are not provided for partial months or unused services.
• Trial Period: Certain services may include a trial period as specified in individual proposals.

3. Payment Processing & Security

All payments are processed through Stripe, Inc., a PCI-DSS compliant payment processor. By providing payment information, you authorize Stripe to charge the specified payment method. Kakralabs does not store or process payment card information directly.

We comply with FTC requirements for online billing disclosures, including clear pricing presentation and easy cancelation processes.

4. Intellectual Property

Unless otherwise specified in writing, all source code, database configurations, and UI designs created by Kakralabs specifically for a client will be transferred to that client upon full and final payment of all outstanding invoices or subscription fees. We retain ownership of generic templates, core scaffolding, and pre-existing library utilities used in build deliveries.

Kakralabs reserves all rights to proprietary methodologies, frameworks, and tools developed internally that are not explicitly included in client deliverables.

5. Client Obligations & Communications

Clients are responsible for:

• Providing timely feedback and requirements clarification.
• Ensuring they have appropriate rights to any third-party assets or content provided.
• Maintaining the confidentiality of their account credentials.
• Prompt payment of all subscription fees and invoices.

6. Warranty & Limitation of Liability

OUR SERVICES AND CUSTOM DELIVERABLES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL KAKRALABS OR KAKRA AKWAA NIMAKO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES RESULTING FROM THE USE OR INABILITY TO USE THE DELIVERED SOFTWARE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE RELEVANT SUBSCRIPTION PERIOD.

7. Compliance & Disclosures

Kakralabs operates in compliance with the Federal Trade Commission (FTC) laws regarding online billing disclosures, consumer transparency, and unfair or deceptive practices. All pricing details are presented clearly, and there are no hidden signup fees or forced contract locking.

We also comply with CIPRA (Colorado Privacy Act), CCPA/CPRA, GDPR, and other applicable privacy regulations where required.

8. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the services will cease immediately.

9. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any legal action arising under this agreement shall be resolved in the competent courts of Accra.

For international clients, we may agree to alternative dispute resolution mechanisms, including mediation or arbitration, upon mutual written agreement.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If the alterations constitute a material change to the Terms, we will notify you by posting an announcement on our website or by email. Your continued use of our services following the publication of changes constitutes acceptance of those changes.
